1. Who We Are

NBS operates an online education platform and creator/live-commerce agency services related to live selling, TikTok Shop, affiliate commerce, creator training, brand collaborations, and related digital services.

2. Eligibility

You must be at least 18 years old to purchase a course, create a paid account, complete identity verification, or participate in business, creator, seller, or affiliate-related services through NBS.

By using our services, you represent that:

• you are at least 18 years old;
• you have the legal right and authority to agree to these Terms;
• the information you provide to us is accurate and complete;
• you will use our services only for lawful purposes;
• you will not misuse, copy, resell, or distribute our course materials or platform content.

We may refuse service, suspend accounts, or terminate access if we believe these requirements are not met.

3. Our Services

NBS may provide:

• online courses and educational materials;
• free lessons, paid lessons, modules, exams, quizzes, and certificates;
• access to NBS Academy or related learning platforms;
• creator, seller, and live-commerce training;
• TikTok Shop, affiliate commerce, and live-selling educational content;
• application and onboarding processes for creators, sellers, or partners;
• identity verification, certificate verification, and anti-fraud checks;
• community, support, and account-related services;
• brand, agency, creator, or business collaboration opportunities.

We may update, modify, add, or remove parts of our services at any time.

4. Account Registration and Security

To access certain features, you may need to create an account.

You agree to:

• provide accurate and current account information;
• keep your login credentials confidential;
• not share, sell, rent, transfer, or give access to your account to another person;
• notify us immediately if you suspect unauthorized account access;
• be responsible for all activity under your account.

We may suspend or terminate your account if we believe your account has been shared, compromised, misused, or used in violation of these Terms.

5. Course Access

When you purchase a course, you receive a limited, personal, non-transferable, non-exclusive license to access the course materials for your own educational use.

Unless otherwise stated on the checkout page, course access is provided through your NBS account.

"Lifetime access," if mentioned, means access for as long as NBS continues to operate and maintain the relevant course or platform, subject to these Terms, account status, technical availability, business continuity, and applicable law. It does not mean that any specific course, feature, platform, instructor, bonus, or third-party service will remain available forever.

We may update, replace, reorganize, or remove course materials when necessary to improve quality, reflect platform changes, comply with legal requirements, or discontinue outdated content.

6. Payments, Pricing, and Billing

Prices are displayed before checkout. You agree to pay all applicable fees, taxes, and charges associated with your purchase.

Payments may be processed by third-party payment providers, such as Stripe, Klarna, card networks, banks, or other payment partners. We do not control all payment processing decisions, approvals, declines, installment terms, financing terms, or fees charged by third-party providers.

If you use a buy-now-pay-later, installment, financing, or deferred payment option, your relationship with that payment provider may be governed by separate terms.

All prices, discounts, promotions, bonuses, and availability are subject to change. Changes do not affect purchases already completed unless otherwise stated.

7. Refund Policy

This Refund Policy applies to purchases of NBS Academy courses and digital educational products unless a different refund policy is clearly stated at checkout.

7.1 14-Day Conditional Refund Window

You may request a refund within 14 calendar days from the date of purchase if all of the following conditions are met:

• you submit your refund request by email to info@nextbigseller.com within 14 calendar days of purchase;
• you have accessed no more than 20% of the course content;
• you have not completed the final exam;
• you have not received a certificate;
• you have not downloaded, copied, exported, or otherwise retained substantial course materials, templates, scripts, bonus files, or restricted resources;
• your account has not been suspended or terminated for violating these Terms.

7.2 No Refunds After Significant Use

Refunds are generally not available if:

• more than 14 calendar days have passed since purchase;
• you accessed more than 20% of the course;
• you completed the course, final exam, or certification process;
• a certificate was issued;
• you violated these Terms;
• you shared your account or course materials with another person;
• you attempted to copy, resell, distribute, record, scrape, or bypass protection of the course materials;
• you purchased through a third-party provider whose terms do not allow us to issue the refund directly.

7.3 How to Request a Refund

To request a refund, email info@nextbigseller.com with:

• your full name;
• the email address used for purchase;
• the course purchased;
• the date of purchase;
• the reason for the refund request.

We may ask for additional information to verify your identity, payment, course progress, or eligibility.

7.4 Refund Method and Timing

Approved refunds will generally be issued to the original payment method.

Processing times may vary depending on the payment provider, bank, card network, or financing provider. We are not responsible for delays caused by third-party payment processors.

If you used Klarna, installment payments, financing, or another third-party payment provider, any refund may also be subject to that provider's own terms and processing rules.

7.5 Discretionary Refunds

We may, at our sole discretion, offer a partial refund, credit, extension, or alternative resolution even when a refund is not required under this Refund Policy. Any such decision does not create an obligation to offer the same resolution in the future.

7.6 Mandatory Consumer Rights

Nothing in this Refund Policy limits any non-waivable consumer rights that may apply under applicable law.

8. Earnings Disclaimer

NBS provides education, training, tools, examples, frameworks, and informational content related to live selling, creator commerce, TikTok Shop, affiliate commerce, brand collaborations, and related business opportunities.

We do not guarantee that you will make money, get brand deals, become a successful creator, grow your audience, qualify for TikTok Shop, receive affiliate commissions, receive platform approval, or achieve any specific business, financial, career, or personal result.

Any examples, case studies, testimonials, sales figures, revenue examples, income examples, creator results, or business outcomes shown on our websites, in our courses, in our marketing, or in our communications are for illustrative and educational purposes only. They are not guarantees of typical or future results.

Your results depend on many factors, including:

• your skills, effort, consistency, and experience;
• your niche, content quality, audience, location, language, and market;
• platform rules and algorithm changes;
• TikTok Shop policies and eligibility requirements;
• brand and affiliate program requirements;
• product selection, pricing, demand, competition, and logistics;
• advertising, traffic, conversion rates, and sales execution;
• legal, tax, business, and compliance factors outside our control.

You understand that building income through live selling, creator commerce, affiliate commerce, TikTok Shop, or any related activity involves risk, effort, uncertainty, and no guaranteed outcome.

NBS is an educational provider and service platform. We are not providing financial, investment, legal, tax, or employment advice.

9. No Employment, Agency, or Guaranteed Partnership

Using our services, applying through our website, completing a course, or receiving a certificate does not create an employment relationship, agency relationship, franchise relationship, joint venture, partnership, or guaranteed business opportunity between you and NBS.

We may choose whether to review, accept, reject, or contact applicants, creators, sellers, students, affiliates, or partners at our sole discretion.

Completion of a course does not guarantee:

• employment;
• brand deals;
• creator partnerships;
• affiliate program acceptance;
• TikTok Shop approval;
• platform monetization;
• business revenue;
• sales;
• account growth;
• any specific commercial outcome.

10. KYC, Identity Verification, and Certificates

Certain services, certificates, creator applications, account features, or payment-related processes may require identity verification, KYC, fraud prevention checks, or certificate verification.

You agree to provide accurate information when verification is required.

We may deny, suspend, or revoke access to certificates, account features, creator opportunities, or platform services if:

• you refuse required verification;
• verification fails;
• information is inaccurate, incomplete, fraudulent, or misleading;
• we suspect account sharing, impersonation, fraud, abuse, or misuse.

Certificates may include your name, certificate ID, completion status, date, and other verification information.

A certificate confirms completion of a course or assessment under our internal standards. It does not represent a government license, academic degree, professional license, employment guarantee, or guaranteed business qualification.

11. Intellectual Property

All websites, platform materials, courses, videos, scripts, frameworks, templates, documents, graphics, designs, text, logos, branding, software, lesson structures, exams, quizzes, certificates, and other materials provided by NBS are owned by NBS or its licensors and are protected by intellectual property laws.

You may not:

• copy, record, download, reproduce, distribute, resell, publish, share, sublicense, or transfer our course materials;
• share your login credentials or allow another person to access paid content through your account;
• upload course materials to file-sharing services, social media, groups, forums, or public platforms;
• remove copyright notices, watermarks, DRM, access controls, or protection mechanisms;
• reverse engineer, scrape, crawl, extract, or automate access to our platform;
• use our content to create a competing course, platform, training program, or commercial product.

Your purchase gives you access to use the materials for your own personal educational purposes only. It does not transfer ownership of any content or intellectual property to you.

12. Content Protection and Anti-Piracy

We may use watermarks, DRM, account tracking, session monitoring, access logs, device limits, download restrictions, or other content protection technologies.

You agree not to bypass, disable, interfere with, or attempt to remove any protection, watermark, tracking, or access-control mechanism.

If we believe you copied, shared, leaked, resold, recorded, or distributed protected materials, we may suspend or terminate your account without refund and pursue legal remedies.

13. User Content and Submissions

You may submit information, messages, profile links, creator materials, TikTok profile information, videos, feedback, support requests, testimonials, reviews, or other content to NBS.

You represent that you have the right to submit this content and that it does not violate the rights of any third party.

By submitting content to us, you grant NBS a worldwide, non-exclusive, royalty-free license to use, review, store, reproduce, display, and process the content as reasonably necessary to provide our services, review applications, deliver support, improve our platform, and operate our business.

We will handle personal information according to our Privacy Policy.

14. Acceptable Use

You agree not to:

• use our services for unlawful, fraudulent, abusive, or harmful purposes;
• provide false, misleading, or impersonated information;
• interfere with platform security or functionality;
• access another user's account;
• share, resell, or distribute course access;
• copy, leak, scrape, record, or reproduce course materials;
• harass, threaten, abuse, or harm other users, staff, instructors, partners, or creators;
• upload malware, spam, or malicious content;
• use our services in a way that violates TikTok, TikTok Shop, affiliate platform, payment provider, or third-party platform rules;
• use our brand, name, logo, or materials without written permission.

We may suspend or terminate access if we believe these rules are violated.

15. Third-Party Platforms and Services

Our services may reference, integrate with, or depend on third-party platforms, including TikTok, TikTok Shop, payment providers, analytics tools, identity verification providers, email platforms, video platforms, social media platforms, and other services.

We do not control third-party platforms, their rules, decisions, approvals, algorithms, account restrictions, fees, outages, policies, or availability.

NBS is not responsible for:

• TikTok or TikTok Shop policy changes;
• account bans, suspensions, restrictions, or verification failures on third-party platforms;
• affiliate program approvals or rejections;
• third-party payment declines;
• third-party platform outages;
• changes to algorithms, traffic, reach, eligibility, commissions, or monetization.

You are responsible for complying with all applicable third-party platform terms and policies.

NBS is not affiliated with, endorsed by, or sponsored by TikTok, ByteDance, or TikTok Shop unless explicitly stated.

16. Marketing Communications

By submitting your information, creating an account, purchasing a course, or interacting with us, you may receive service-related communications from NBS.

You may also receive marketing communications where permitted by law. You can unsubscribe from marketing emails at any time by using the unsubscribe link or contacting us at info@nextbigseller.com.

We may still send you non-marketing communications related to your account, purchases, support requests, security, legal notices, or course access.

17. Privacy

Your use of our services is also governed by our Privacy Policy, which explains how we collect, use, disclose, and protect personal information.

By using our services, you acknowledge that you have read our Privacy Policy.

18. Changes to Services and Terms

We may update these Terms from time to time. When we make changes, we will update the "Last Updated" date above.

Your continued use of our services after updated Terms are posted means you accept the updated Terms.

• third-party platforms will maintain the same rules or opportunities;
• you will achieve any specific result;
• any information will be free from errors or outdated details;
• access will be uninterrupted, secure, or error-free.

20. Limitation of Liability

To the maximum extent permitted by law, NBS, its owners, officers, employees, contractors, instructors, affiliates, partners, and service providers will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost revenue, lost business opportunities, lost data, account restrictions, platform bans, or reputational harm.

To the maximum extent permitted by law, our total liability for any claim related to the services will not exceed the amount you paid to NBS for the specific course or service giving rise to the claim during the six months before the claim arose.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

21. Indemnification

You agree to indemnify and hold harmless NBS, its owners, officers, employees, contractors, instructors, affiliates, partners, and service providers from any claims, damages, losses, liabilities, costs, or expenses arising from:

• your use of our services;
• your violation of these Terms;
• your violation of any law or third-party rights;
• your misuse, copying, sharing, or distribution of our materials;
• your content, submissions, or communications;
• your business, creator, seller, affiliate, or platform activities.

22. Termination

We may suspend or terminate your account, access, certificate eligibility, or use of our services if:

• you violate these Terms;
• you fail to pay required fees;
• you share or resell account access;
• you copy, leak, or distribute course materials;
• you provide false or misleading information;
• you fail or refuse required verification;
• we suspect fraud, abuse, chargeback misuse, or platform misuse;
• continued access creates legal, security, operational, or reputational risk.

Termination may occur without refund when caused by violation of these Terms.

Sections that by their nature should survive termination will survive, including intellectual property, payment obligations, refund limitations, disclaimers, limitation of liability, indemnification, and dispute provisions.

23. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law principles.

Any dispute arising from or relating to these Terms or our services shall be handled in the state or federal courts located in California, unless applicable law requires otherwise.
